IFTA-related definitions में language को भी अलग concept माना गया है। उदाहरण के लिए, provided IFTA definitions material में “Local Language(s)” का मतलब Territory के हर country में बोली जाने वाली primary language या languages बताया गया है । इसलिए drafting में एक जरूरी नियम है: territory और language को एक vague phrase में merge न करें।
Clause को इस तरह साफ रखा जा सकता है:
Territory: Republic of Korea (South Korea), as defined in the IFTA International Schedule of Territory Definitions applicable to this Agreement, excluding all other territories unless expressly stated.
अगर agreement किसी IFTA schedule से जुड़ा है, तो यह भी लिखें कि कौन-सा schedule govern करेगा। IFTA-related materials में territories को agreement की Effective Date पर current IFTA International Schedule of Territories के आधार पर define करने का reference मिलता है । अगर parties चाहती हैं कि कोई खास version लागू हो, तो agreement में उस version का नाम सीधे लिखना बेहतर है।
Commercial intent parties को साफ लग सकता है, लेकिन contract drafting में shorthand पर भरोसा न करें। South Korea territory grant को अपने-आप इन चीजों को include करने वाला नहीं पढ़ना चाहिए:
इसी सावधानी की जरूरत phrases जैसे “Korean rights,” “Korean-language rights” या “Asia excluding China and Japan” के साथ भी है। ये phrases business intention बताने में मदद कर सकते हैं, लेकिन precise territory definition और separately stated rights grant का substitute नहीं हैं।
South Korea से जुड़े किसी IFTA-referenced agreement पर sign करने से पहले deal terms में ये बातें अलग-अलग check करें:
अगर intended territory South Korea है, तो सिर्फ “Korea” लिखने के बजाय “Republic of Korea (South Korea)” लिखें । IFTA-style drafting territory को rights, term, language, exceptions, uses, holdbacks और reservations से अलग रखती है, इसलिए कोई भी broader grant expressly stated होना चाहिए
