That dividend had been recommended by SAP’s Executive Board and Supervisory Board as a €0.15, or 6.4%, increase compared with the dividend paid for fiscal 2024 .
The key distinction is that the AGM result is the shareholder approval record, while Dremio and Prior Labs were announced in separate acquisition agreements .
Dremio fits SAP’s AI plan at the data layer. SAP said it agreed to acquire Dremio, an open, high-performance data lakehouse platform, to accelerate agentic AI and expand SAP Business Data Cloud’s ability to combine SAP and non-SAP data for real-time analytical and AI workloads .
The strategic problem is fragmented enterprise data. SAP said Dremio would complement SAP Business Data Cloud and SAP HANA Cloud and help reduce data fragmentation and integration friction across SAP and non-SAP data . In practical terms, SAP is trying to give analytics and AI systems a broader data foundation instead of leaving them constrained by disconnected application and data environments.
Prior Labs fits at the AI model layer. SAP and Prior Labs announced a definitive agreement for SAP to purchase Prior Labs, which SAP described as a pioneer of Tabular Foundation Models, or TFMs .
SAP said Prior Labs would continue to operate as an independent entity and that SAP would invest more than €1 billion over four years to scale it into a frontier AI lab for the structured data that runs businesses . That makes the acquisition strategically different from Dremio: Dremio is about data access and integration, while Prior Labs is about models designed for tabular business information.
Together, Dremio and Prior Labs map to two enterprise AI bottlenecks: getting usable data into the system and applying models that work well on structured business data. SAP’s own announcements point in the same direction. Dremio is meant to help SAP Business Data Cloud combine SAP and non-SAP data for analytical and AI workloads . Prior Labs is meant to strengthen SAP’s work in tabular foundation models for structured data
. If Dremio is the data foundation, Prior Labs is the specialized model layer SAP wants to build on top of it.
For shareholders, the documented AGM outcome is straightforward: SAP confirmed all resolutions, including a profit-appropriation decision that pays a €2.50 dividend per eligible share . For customers and partners, the more forward-looking signal is SAP’s AI direction: expand Business Data Cloud beyond SAP-only data and pair that data foundation with models built for structured enterprise information

The caveat is timing. The Dremio and Prior Labs deals were not closed at announcement; reporting said both transactions were expected to close in Q2 or Q3 2026, subject to regulatory approval, and that financial terms were not disclosed . Until those deals close and SAP integrates the technology, their significance is strategic rather than fully realized in the product stack.
