That balance sheet gives Microsoft room to spend aggressively while remaining far less leveraged than a typical infrastructure-heavy company. It also helps explain why rating agencies can tolerate a move toward approximately 1x debt-to-EBITDA, including leases, as the buildout progresses.
Microsoft’s investment cycle is unusually large. Property-and-equipment spending reached roughly $116 billion in fiscal 2026, up sharply from the prior year. On an adjusted basis that also includes finance leases, the broader fiscal-2026 investment figure reached about $175 billion; Microsoft has also indicated a roughly $175 billion spending level for the following fiscal year, although accounting changes affect how some data-center leases appear in reported capital expenditure.
Moody’s expects capital expenditure to remain in the high-40% range of revenue over the next 12 to 24 months. Its forecast calls for a cumulative free-cash-flow deficit of approximately $4 billion across fiscal 2027 and fiscal 2028.
That pressure matters because free cash flow is the main resource available for debt reduction, shareholder returns and additional investment. A quarterly decline of more than 23% would reinforce the concern that the AI buildout is consuming cash faster than the new capacity is monetized. But a temporary deficit is different from an inability to fund obligations: Microsoft starts with substantial liquidity, a large operating cash engine and access to deep debt markets.
The strongest support for Moody’s stable outlook is that Microsoft’s underlying demand indicators are still expanding rapidly.
In fiscal fourth-quarter 2026, Microsoft reported $90 billion in revenue, up 18% year over year. Microsoft Cloud revenue rose 27% to $59.3 billion, while Azure and other cloud services revenue increased 43%. Commercial remaining performance obligations—contracted work that has not yet been recognized as revenue—grew 84% to $678 billion.
These figures do not prove that every dollar spent on AI infrastructure will earn an attractive return. They do provide evidence of customer demand and future revenue visibility. Microsoft must still deliver the computing capacity behind those commitments, and the timing of recognition can vary. Even so, a large contracted backlog makes the investment case more credible than a buildout based only on uncertain future usage.
Moody’s expects Microsoft’s revenue to grow approximately 18% to 19% over the next 12 to 24 months, reaching roughly $466 billion by fiscal 2028. If that growth is accompanied by continued profitability and eventual cash-flow recovery, the expected increase in leverage toward 1x would remain manageable.
A stable credit outlook is primarily a statement about debt repayment capacity. It is not a forecast that Microsoft’s share price will rise, and it does not remove valuation risks from high interest rates, slower AI adoption or lower future margins.
For shareholders, the same spending that supports long-term cloud growth can weigh on near-term free cash flow. For bondholders, the key issue is whether Microsoft’s earnings scale remains large enough relative to debt and lease obligations. Microsoft’s current position gives it a wide cushion, but that cushion could narrow if spending stays elevated while revenue growth or operating margins weaken.

Microsoft’s rating decision comes as hyperscalers increasingly tap bond markets and other financing structures to fund data centers, chips and related infrastructure. Morgan Stanley forecasts nearly $570 billion of global AI-related debt issuance in 2026, more than double the prior year’s level.
Another Morgan Stanley estimate cited in market coverage puts the amount of AI infrastructure funding that may need to come from credit markets through 2028 at approximately $1.75 trillion. That is a forecast, not a committed funding total, and its implications will depend on how quickly AI infrastructure generates revenue.
The credit-market risk is that supply grows faster than investor confidence in the underlying returns. Reuters reported that AI-related debt was already close to 15% of investment-grade bond issuance in 2026. More issuance could eventually push borrowing costs higher or cause investors to distinguish more sharply between companies with strong cash reserves and those relying heavily on new debt, leases or private-credit structures.
Microsoft is better positioned than weaker or more concentrated borrowers because of its liquidity, diversified revenue and established cloud franchise. But an Aaa rating does not insulate it from an AI-demand shortfall, higher funding costs or a repricing of technology credit.
The likely trigger would not be one weak quarter. Pressure would build if several adverse trends persisted: leverage materially above Moody’s expectations, free cash flow that remained negative for longer than forecast, weaker Azure or AI demand, sustained margin compression, or a financial policy that prioritized debt-funded expansion and distributions over balance-sheet repair.
The rating’s message is best summarized as confidence with conditions. Microsoft can afford an extraordinary investment cycle because it begins with enormous scale, liquidity and earnings power. The next test is whether that spending converts into durable cash generation before leverage and financing needs rise too far.
