SoftBank has already used several debt markets this year. In April, it sold about $3.6 billion of dollar- and euro-denominated bonds, including a 10-year dollar note with an 8.5% coupon. Bloomberg reported that the company’s aggressive AI investment had contributed to higher funding costs.
The company also priced ¥418 billion of retail-targeted hybrid bonds at an initial five-year coupon of 4.97% in April. Those securities mature in 35 years, are subordinated and callable after five years, so their structure differs materially from the proposed seven-year corporate bonds. The earlier coupon is therefore a useful indication of the market’s required return from SoftBank, but it does not establish what investors will accept for the new issue.
SoftBank shares dropped 8.1% to ¥5,360 after the planned bond sale was reported. The decline was attributed to concerns about the size of the issuance, the company’s debt load and the use of additional borrowing to finance AI investments.
An equity selloff does not prove that the bond will fail. Stocks and bonds price different risks, and a company can place debt even when shareholders react negatively. But the market response suggests that investors interpreted the announcement as a financing signal, not merely as routine refinancing.
The question is whether SoftBank can keep expanding its AI investments without causing investors to demand increasingly expensive funding. A large bond sale that prices smoothly would support the company’s access to domestic retail capital. A wider-than-expected coupon, a smaller final deal or a decline in the bonds’ secondary-market price would point to tighter financing conditions.
Credit markets are also showing more caution toward companies associated with the AI investment cycle. Nvidia’s five-year credit-default-swap spread reached 80.77 basis points on August 19, up roughly 90% from the start of the year and more than double its level in late May, according to reported market data. Oracle’s five-year CDS spread exceeded 200 basis points in July.
These figures are not a direct measure of SoftBank’s probability of default. Nvidia and Oracle have different businesses, balance sheets and financing needs. Their spreads are relevant instead as a broader market signal: investors are reassessing how much risk is embedded in the enormous capital spending required to build AI capacity and how quickly that spending will produce durable cash flows.
That distinction matters for SoftBank. The company is not simply borrowing against a mature, predictable cash-flow stream; it is seeking capital while its investment strategy depends on the future performance of AI-related businesses and infrastructure. In a risk-averse market, lenders and retail investors are likely to focus more closely on leverage, refinancing plans, asset values and the path to returns.
Demand may exist. Japan’s retail-targeted corporate-bond market is projected to approach a record ¥2.8 trillion in 2026, according to reports. But SoftBank’s proposed transaction would be unusually large relative to that market and would concentrate a substantial amount of household demand in one issuer.
The practical risk is therefore absorption rather than necessarily outright failure. Several outcomes are possible:

SoftBank’s financing test is relevant beyond Japan because it illustrates a broader constraint on debt-funded AI expansion. If investors continue to demand more compensation for AI-linked credit risk, companies building data centers, computing capacity and related infrastructure may have to show clearer contracted demand and more visible cash flows before borrowing aggressively.
The likely effect would not necessarily be an end to AI investment. It could instead mean more expensive debt, shorter maturities, greater use of secured or project-level financing, or a closer match between new borrowing and revenue-producing assets. Companies with strong balance sheets and dependable cash generation should have more flexibility; more highly leveraged borrowers may need to slow or restructure capital spending if spreads remain wide.
Higher domestic yields also change the relative calculation for Japanese investors considering foreign bonds. When Japanese government debt offers a more competitive return, currency-hedged overseas bonds—such as U.S. Treasuries—may become less compelling at the margin, depending on exchange rates and the cost of hedging.
That could reduce Japanese demand for some overseas assets or redirect more savings toward domestic yen instruments. The size and direction of any impact on U.S. Treasury yields remain uncertain, however. Exchange rates, hedge costs, institutional allocation decisions and future Bank of Japan policy would all matter.
SoftBank’s proposed ¥1 trillion issue arrives at the intersection of three pressures: a higher Japanese government-yield baseline, growing scrutiny of AI-related credit risk and the company’s need to fund an ambitious investment program. Its success will not be measured only by whether the bonds are sold.
The more revealing signals will be the final coupon, the strength of retail demand and the bonds’ performance after issuance. Together, they will show how much Japanese households are willing to pay for exposure to SoftBank’s AI strategy—and how much that strategy now costs to finance.
